Affiliate program terms

These terms govern participation in the ovellan affiliate program. By submitting an application you accept them, and by continuing to use your affiliate link after a change you accept the updated version.
1. Who can take part
The program is publicly listed, but participation requires approval. We review every application by hand and may decline one without giving a detailed reason. You must be 18 or older, or represent a legal entity, and you must be able to receive payouts in a country our payment provider supports.
Do not promote ovellan as an affiliate before your application is approved. Links created before approval do not track and do not earn commission.
2. Commission
You earn between 10% and 30% of the commissionable revenue of each customer you refer, depending on your rank, for their first 12 paid months. Commissionable revenue is what the customer actually pays, minus VAT and other taxes, discounts, credits, refunds and chargebacks. Our payment provider's transaction fee is not deducted from that basis.

For an annual payment the full commission on that payment becomes available in one go once the validation period has passed.
Ranks
Your commission rate is set by your rank, and your rank is set by how many of the customers you referred are actively paying at the time of evaluation. Ranks are evaluated daily. You move up as soon as you meet a threshold. You only move down after two consecutive months below it.

A rank change never changes what a referral you already made is worth. Every referral carries the rate that was in force at the moment it was attributed, for its full commission period, whether your rank later goes up or down.
From the Silver rank onwards your own ovellan subscription is discounted at the percentage shown above, for as long as you hold that rank. The discount is applied to your subscription automatically and is removed if you drop below the rank that granted it. It does not combine with an introductory offer; where both apply, the introductory offer runs first and the partner discount is applied once it ends.
3. Attribution
A referral is attributed on the last valid affiliate click within 60 days, or on a referral code the customer enters themselves. A code the customer types wins over a click. A newer affiliate click replaces an older one; direct, organic and email traffic never replace an affiliate.
Attribution becomes final the moment the customer creates a workspace. After that it does not change, except through a manual, logged correction by an administrator.
A referral does not count when, before the first affiliate click, the customer already
- had an ovellan account
- had an active or previous trial
- was a paying customer
- was registered as an active sales opportunity
Self-referrals are never commissionable. Buying through your own link, or signing up your own company through it, is a breach of these terms.
Cross-device attribution is only guaranteed when the customer enters your referral code, or creates their account on the first device.
4. Validation and clawbacks
Every commission is created as pending and stays pending for 30 days. A refund or chargeback inside that window reverses it. After the window it becomes approved and can be paid out.
A partial refund reverses the same proportion of the commission. A chargeback reverses the remainder in full. If a reversal happens after a payout has already been made, the amount is settled against your future commissions, which can leave your balance temporarily negative.
5. Payouts
Payouts run once a month. The batch closes on the last calendar day of the month and is paid on the 15th of the following month. The minimum payout is €50; a smaller balance carries over automatically until it reaches the threshold.
Your payout details must be complete at least 5 working days before the payout date. That includes identity or business verification, country, legal name, tax details where applicable, and a verified payout account. If they are not complete in time, the payout moves to the next cycle. Nothing is lost.
Payouts run through Stripe Connect where it is supported. You complete their onboarding directly with Stripe, which means ovellan never receives or stores your bank details or identity documents. Taxes on what you earn are your own responsibility.
6. How you may promote
You may not:
- Present yourself as an independent customer when you are not
- Write fake reviews or invented customer experiences
- Claim you use ovellan yourself when that is not true
- Mass or automated posting
- Work around the rules of Reddit, forums or any other platform
- Cookie stuffing, or firing links without a real user action
- Mislead people into clicking
- Bid on ovellan brand keywords without written permission
- Register domains containing ovellan
- Create social accounts that look official
- Use coupon or deal sites without permission
- Send unsolicited bulk email or use scraped lists
- Use malware, adware or browser extensions
- Publish incorrect product claims or promise discounts that do not exist
- Place tracking links where the platform forbids them, or hide them to get around that
- Use sub-affiliates without written approval
- Use AI to produce generic or misleading promotion at scale
7. Disclosure
Affiliate promotion must be recognisable as commercial communication. The word affiliate or commission on its own is not always clear enough. You must explain, in plain language, that you receive money when someone becomes a customer through your link, and the disclosure must sit next to the recommendation and the link, not only on a profile page or at the bottom of a long text.

8. Brand and paid search
Without written permission you may not bid on ovellan brand keywords, including ovellan, ovellan AI, ovellan chatbot, ovellan customer service and ovellan.com. Linking straight from a paid advertisement to ovellan.com is not allowed by default. You may not register domains containing our name, or run social accounts that could be mistaken for an official ovellan channel.
You may use our logo and product screenshots as supplied in the partner resources, unchanged, to refer to ovellan. That is a limited licence for promoting the program and it ends when your participation ends.
9. Compliance
We may review affiliate content, ask which URLs and channels you use, and ask for examples or screenshots. You have 7 days to answer a normal compliance question. Serious fraud or deception can lead to immediate suspension.
Automated signals, such as an unusual click pattern, an unusually high conversion rate, or a referral that shares an identity with the affiliate, can put a commission on hold for manual review. A signal on its own never permanently blocks anything.
10. Data and privacy
Affiliate tracking uses a first-party cookie that stores nothing but a random token, and only when the visitor has given consent for it. Without consent we set nothing and keep only anonymous, aggregated click counts. We do not use device fingerprinting.
Your dashboard never shows customer names, email addresses, payment details or any other identifying information about the businesses you refer. You see counts and amounts only.

11. Suspension and termination
We may pause or close an affiliate account for a breach of these terms, for fraud, or for promotion that damages the reputation of the product. While an account is paused, links stop tracking and no new commission accrues. Commission that was validly earned and approved before a decision is still paid out on the normal schedule. Commission linked to fraud is not.
You can leave the program at any time. Approved commission is paid out in the next normal cycle.
12. Changes to these terms
We may change these terms. When we do, we publish a new version number and email every active partner. Changes to commission rates or the commission period apply to referrals created after the change; referrals that were already attributed keep the terms they were created under.
Dutch law applies to these terms.
